Scope and provider
These Terms and Conditions govern purchases and the matcha subscription at Niyu Matcha (niyu.ch, checkout at shop.niyu.ch) as well as membership in the Niyu Design circle and use of the platform. The provider and, at Niyu Matcha, the seller is PDQ Company IT-Consulting GmbH, Dammstrasse 16, 6300 Zug, Switzerland.
By ordering, joining or using the platform, you agree to these terms.
Niyu Design: service and Niyu’s role
At Niyu Design, Niyu gives its members access to selected design houses and their conditions and, on request, coordinates appointments. For these products Niyu is not the seller and not a party to the purchase contract. Purchases at Niyu Matcha are governed by the Niyu Matcha section.
Purchase, delivery, warranty and all claims arising from the acquisition of products lie exclusively with the respective design house.
Membership
Membership is free and by invitation only. There is no entitlement to admission.
One access per person or studio is permitted. Information must be true and current. The invitation link is personal and must not be distributed contrary to its purpose.
Design-house conditions
The conditions shown (e.g. preferential terms, discounts) are set by the design houses and may change or cease at any time. Niyu gives no warranty as to their availability, level or form. There is no legal entitlement to a particular condition.
Cashback, shares, rewards and payouts
Cashback, shares, referral and status benefits and payouts are voluntary, non-binding benefits. To the extent legally permissible, there is no legal entitlement to their grant, level, continuation or payout.
Niyu may change, suspend or discontinue programmes, rates, thresholds and conditions at any time. A balance does not constitute a statutory payment claim and may lapse in case of misuse, incorrect information, reversal of the underlying purchases, inactivity or termination of membership, to the extent legally permissible.
Payouts are made only once the stated minimum amount is reached, exclusively in Swiss francs to a Swiss bank account and after internal review. You are responsible for the accuracy of payment details (in particular the IBAN); Niyu is not liable for damage resulting from incorrect details, to the extent legally permissible. Where misuse is reasonably suspected, Niyu may withhold or refuse payouts.
Member obligations
You undertake to provide truthful information, to use the platform lawfully and to refrain from any misuse (e.g. multiple accounts, manipulation of referrals or receipts). A breach may lead to suspension and forfeiture of benefits.
Niyu Matcha: ordering, prices, payment and delivery
The presentation of products on niyu.ch does not constitute a binding offer. By completing your order in the checkout you make a binding offer; the contract is concluded with our order confirmation by email.
All prices are in Swiss francs and include VAT. We deliver within Switzerland only. Shipping is free; the matcha sample is free and you only pay CHF 2.50 shipping. Your order usually arrives within 1 to 2 working days.
Payment is made in the checkout with the methods offered there; Shopify and the payment providers process the payment. Subscription deliveries are billed automatically to your saved payment method. If billing fails, we will inform you by email; without successful payment, there is no delivery.
Please check the delivery on receipt. Report damaged, faulty or wrong items within 14 days of receipt; you will receive a free replacement or your money back. Returns and refunds are governed by the “Returns and refunds” page (niyu.ch/en/returns).
Niyu Matcha: subscription, free 4th pouch and inviting friends
By ordering the free sample, you take out the matcha subscription at the delivery frequency you chose. The first paid delivery follows 7 days after the order; until then you can cancel free of charge. After that a minimum term of three paid deliveries applies. If you cancel in your account on niyu.ch at any time before the fourth delivery is billed, the subscription ends after the third. If you do not cancel, it continues at the delivery frequency you chose, every 2 weeks or every month, and you can cancel at any time before the next billing.
Price changes: we may change the price of the matcha subscription. A price increase applies to your current subscription only with your express consent. We will inform you by email in advance and pause your subscription until you decide in your account whether to continue at the new price or end the subscription. Without your consent no delivery is billed at the new price. In that case you can end the subscription immediately, without a notice period, even during a current minimum term. Your credit towards the 4th pouch then does not lapse: it stays saved in your account and counts again as soon as you take out a matcha subscription again.
Every 4th pouch free: each paid subscription delivery credits you CHF 16 towards your 4th pouch (credit), each paid subscription delivery of a person referred through your personal link CHF 8. If you were referred through a personal link yourself, each of your paid subscription deliveries credits you another CHF 8 as long as the referring person has an active subscription. The credit is in Swiss francs; it is only earned while you have an active subscription yourself, and the free sample does not count. Once your credit reaches CHF 48, you can redeem it: 30 g of Signature Ceremonial Matcha, sent as an extra pouch with the next delivery of an active subscription. Redeeming starts a new minimum term of three paid deliveries, the first being the delivery with the free pouch; until this minimum term ends, the subscription cannot be cancelled or paused. Credit is redeemed when you confirm the new minimum term of three deliveries in your account; without this confirmation the subscription continues unchanged and the credit remains. One redemption per three paid deliveries is possible per subscription: a further redemption is only possible once the three deliveries of the previous one have been paid.
The credit is not a means of payment: it is not paid out in cash, not set off against the subscription price and not transferable. If your subscription ends, by cancellation or for any other reason, and you have no other active subscription, the entire credit lapses without compensation. This does not apply if the subscription ends because of a price increase (see price changes).
A referral only counts for people who take out their first subscription through your link. Self-referrals, multiple accounts and misuse are excluded; in that case the credit may be cancelled. Niyu may adjust amounts and conditions with future effect.
If you order through an invitation link, we link your customer account to the account of the person who invited you in order to calculate their credit towards the 4th pouch. That person sees in their account how many people have ordered through their link and receives a credit for each of your paid subscription deliveries, from which they can tell whether people are still ordering through their link. We do not pass on your name, address or order details. Details are in the privacy policy.
Returns and refunds are governed by the “Returns and refunds” page (niyu.ch/en/returns). If you return the first paid subscription delivery there, the subscription ends without further deliveries, even before the minimum term is over.
Liability
Niyu’s liability is limited to intent and gross negligence. Any further liability, in particular for slight negligence, indirect damage and consequential damage, is excluded to the extent legally permissible. Mandatory statutory liability remains unaffected.
Niyu is not liable for services, products, conditions, availability or defects of the design houses. No warranty is given for uninterrupted availability of the platform.
Changes and termination
Niyu may amend these terms and the scope of services; the published version applies. For an order, the version at the time of the order applies. We will announce changes affecting an ongoing matcha subscription by email in advance; you can then cancel the subscription before they take effect, even during the minimum term.
Either party may end the Niyu Design membership at any time. In the event of breaches, Niyu may suspend access with immediate effect.
Final provisions
Should any provision be invalid, the validity of the remaining provisions remains unaffected.
Swiss law applies. The exclusive place of jurisdiction is Zug, to the extent legally permissible and unless mandatory places of jurisdiction (in particular for consumers) apply.
